Terms of Service
Last updated October 10, 2026
These terms are an agreement between Ceribria LLC (“Ceribria”, “we”) and the organization that signs up (“you”). By creating an account or paying for a plan you confirm you have the authority to bind that organization, and you agree to these terms.
1. The service
Ceribria provides EmployerScore (a 0–100 score from your organization’s data, across up to four dimensions; Culture Health counts only once an anonymous survey has enough answers), a private dashboard, an optional public Transparency Report, optional employee surveys and, as a separately purchased add-on, the Retention Engine. Scores are statistical estimates calculated from the data you provide, using methods we may refine over time. They are decision support, not a guarantee, a prediction of any individual’s behavior, an audit, or professional advice.
2. Your account and users
Give us accurate information and keep your sign-in credentials secure. You’re responsible for the people you invite and for activity under your account. Account owners and admins manage billing, the roster, surveys, and whether the Transparency Report is published; other members can view.
3. Your data
You own your data. You grant Ceribria the right to process it to provide the service. You confirm that you have the right to upload your roster, that you have given any notices to your employees that the law requires, and that your use complies with employment, privacy and anti-discrimination law.
Upload only what we ask for: employee ID, name, and optionally manager, title, department, location, hire and termination dates and compensation. Do not include Social Security numbers, dates of birth, home addresses, health information or other data we do not ask for. Ceribria does not use it, and the original file is deleted once your roster has been processed. Our handling of personal data is described in the Privacy Policy. On request we will sign a Data Processing Agreement; email sales@ceribria.com.
4. Transparency Reports
Every plan includes a Transparency Report: a public page showing your organization’s EmployerScore, calculated by Ceribria from the data you supplied. It is private until an owner or admin chooses to publish it, and you can unpublish it at any time.
- What is public. If you publish, anyone can open the page without an account, and search engines may index it. It shows your company name, industry and headquarters location, the company domain you confirmed, your overall score, the four dimensions, how many were measured, and when the score was last calculated. It shows no employee names, pay figures or team names.
- Your authority and accuracy. You may publish a report only for the organization you are authorized to act for, and you are responsible for the accuracy and completeness of the data behind it. Before publishing you confirm a company domain, either with a work email address on it or with a DNS record; the report shows that domain. A DNS record shows that your account controls the domain; a work email address shows only that you have an address on it. Neither shows that you are authorized to speak for the company, and we do not check that. Only one Ceribria account can use a domain, and a DNS record takes precedence over a work email address when two accounts both claim it. The report says it is calculated from data you supply and is not an independent audit; we do not verify your data against payroll or any other record.
- Updates and removal. A published report updates automatically whenever your score is recalculated. It comes down the moment you unpublish it, and when your plan ends; publishing again after that is your choice. Search engines and other third parties may keep copies for a while after it comes down, which we cannot control.
- Our right to act. We may decline to publish, correct, or remove a report if we reasonably believe it is misleading, unauthorized or unlawful, or on a credible request from the organization it names. To report a problem with a report, email sales@ceribria.com.
- Permission. While a report is published you give Ceribria permission to display it publicly, as described here.
5. Employee surveys
If you use the survey feature, you choose who to invite, and you are responsible for lawful notice to them. Answers are anonymous: we store no link between an answer and the person who gave it, and results are shown, and counted in your score, only once a survey has at least five answers. You must not try to identify who gave an answer. Every plan includes surveying up to 25 people in any 30 days; each employee surveyed on your Retention Engine plan lets you survey one more, up to your headcount, and a survey or reminder that would go past your limit is not sent. Surveying the same person again does not use more of it, but if your limit goes down (for example, you lower or remove the Retention Engine), nothing goes out until the people surveyed in the last 30 days are within it again.
6. Appropriate use of scores
Do not use Ceribria outputs as the sole basis for hiring, firing, promotion, pay, or any decision that affects an individual’s employment, and do not use them to discriminate on a legally protected basis. You are responsible for complying with the laws that regulate automated or algorithmic tools in employment decisions where you operate, for example New York City Local Law 144.
7. Plans, prices and billing
- EmployerScore is billed monthly at its flat published price, whatever your company size; the Retention Engine is billed monthly at its published price for your company size, employees surveyed and depth (Cortex, Limbic or Neocortex).
- A one-time setup fee applies as shown at checkout (none up to 150 employees; $799 for 151–1,000; custom above 1,000, which we arrange with you).
- Prices are in US dollars and exclude taxes, which are added at checkout.
- Subscriptions renew monthly until cancelled. Moving your EmployerScore plan, and adding, changing or removing the Retention Engine (its depth or the number of employees surveyed), take effect immediately: we charge the prorated amount for the rest of the current period straight away, or, if the change lowers what you pay or removes the Retention Engine, credit the unused part to your account for use on later invoices (credits are not paid out or refunded to your card). Employees surveyed that were already used in the current period — people sent a survey since it began, beyond the 25 every plan includes — are not credited when you lower the number or remove the Retention Engine. If a card can’t be charged for a change, the change is not made. Changes to the Retention Engine’s company-size rate, and employees surveyed coming down when your headcount falls, take effect at the next renewal. Except where the law requires otherwise, fees already paid are not refundable.
- Cancel any time through the billing portal; access continues to the end of the paid period.
- We may change our prices for a renewal period by telling you before that period starts. A pilot or other special arrangement is governed by its own written agreement.
8. Confidentiality and security
Each party will protect the other’s confidential information with reasonable care and use it only for the service. Ceribria maintains the security measures described in the Privacy Policy. Your organization’s roster data is your confidential information.
9. Our intellectual property
Ceribria and its licensors own the service, scoring methods and documentation. You get a non-exclusive right to use them during your subscription. Feedback you give may be used without obligation.
10. Warranty disclaimer and liability
The service is provided “as is” and “as available”, and to the extent the law allows we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement.
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue, and each party’s total liability under these terms is limited to the fees you paid to Ceribria in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.
11. Indemnity
You will defend and reimburse Ceribria for third-party claims arising from the data you upload, from a report you publish, or from your use of the service in breach of these terms or the law. We will tell you promptly about any such claim and let you control its defense.
12. Suspension and termination
We may suspend access for non-payment, unlawful use, or a security risk. Either party may end the agreement for material breach. When your subscription ends we handle your data as described in the Privacy Policy, and any published Transparency Report comes down.
13. General
These terms are governed by the laws of the State of Georgia, USA, and the state and federal courts located in Georgia have jurisdiction over any dispute. They are the whole agreement between us about the service. We may update the terms by posting the new version and, for material changes, emailing the account owner; continued use after the effective date accepts them. Contact: sales@ceribria.com.
